BEFORE: NELSON and NORRIS, Circuit Judges, and FRIEDMAN, District Judge.* Per Curiam. Plaintiff Sugardale Foods, Inc., commenced this action under 15 U.S.C. §§ 1114 and 1125(a), alleging that defendant Uncle Ben's, Inc., had infringed Sugardale's "Country Inn" trademark for boneless fully cooked ham. Uncle Ben's denied the allegation and pleaded several affirmative defenses. Shortly before the trial was scheduled to begin, the presidents of Sugardale and Uncle Ben's agreed to settle the case. This settlement was embodied in a one-page handwritten "Memorandum of Understanding" signed by the presidents and dated November 14, 1986. The Memorandum of Understanding contemplated the execution of "a formal settlement document embodying this understanding."
